SUBJECT:	Innovation Synergy Centre in Markham (ISCM) Governance

RECOMMENDATIONS:

That the report entitled “Innovation Synergy Centre in Markham (ISCM) Governance” be received,

And that the 11 nominees for the 11-person ISCM Board of Directors presented in this report be confirmed by Council to serve a one-year term (renewable) to commence in May 2004.

DISCUSSION:

The ISCM was formally incorporated on March 10, 2004 (letters patent) as a corporation without share capital (i.e., not-for-profit). A copy of the incorporation document is enclosed as Attachment One to this report. At the March 22, 2004 meeting of the Interim Board (Co-Chaired by Mayor Cousens and York University V.P. Stan Shapson), a recommendation was unanimously endorsed to establish an 11-person Board of Directors to guide the operations of the ISCM. A copy of the draft Job Responsibilities describing the role and responsibilities of the ISCM Board members is enclosed as Attachment Two to this report.

The 11 nominees for the 11-person Board of Directors represent a cross-section of public sector and private sector leaders and business mentors. Each of the 11 nominees has a proven record of success in mentoring and fostering business growth and economic development. The 11 nominees are:

Don Cousens (Co-Chair of ISCM) Mayor, Town of Markham

Stan Shapson (Co-Chair of ISCM) VP, York University

Bill O’Donnell Markham Regional Councillor

Theodore Peridis Prof. of Strategic Planning, Schulich School

Robert Prince Dean of School of Engineering, York University

Margot Montgomery Director General, NRC

Harold Brathwaite Seneca College of Applied Arts & Technology

Mark Usher Knowledge Based Industry, RBC Royal Bank

Bob Glandfield President and CEO, ISCM

Ron Smith Retired CEO of technology firms, consultant

Terry Graham Independent entrepreneur, angel investor

The By-Laws governing the ISCM are currently being finalized for review by the ISCM Board of Directors. The draft By-Laws will be submitted to the Economic Development Committee for input by members of Markham Council.
